PREMIER RIDE DRIVER APP | TERMS AND CONDITIONS
Affiliate and Chauffeur Agreement Version 1.0
Effective Date: September 17, 2026 | Last Updated: September 17, 2026
IMPORTANT NOTICE
These Terms form a binding agreement governing access to and use of the Premier Ride Driver App. They contain an individual arbitration agreement and class and collective action waiver in Section 36, subject to stated exceptions and a 30-day opt-out right. Review the entire document before accepting.
Travelingoo Co. operates the customer-facing booking platform and processes customer payments. Premier Ride Inc. jointly contracts only for booking, dispatch, and administrative services. Neither company is a motor carrier or transportation provider. Every Trip is performed and controlled by the independent Affiliate that accepts it.
Quick Reference
These Terms govern App access. A separate written agreement or policy governs the Driver's employment, contractor engagement, affiliate relationship, compensation, and other commercial terms. If there is a direct conflict, the more specific signed agreement controls for that subject, while these Terms continue to govern App use, data security, passenger protection, and platform conduct.
| Topic | Core requirement |
|---|---|
| Account | Use only your own verified account. Never share credentials or permit another person to perform a trip under your identity. |

| Location | The App may collect precise location, including in the background, while you are online, available, assigned, or performing a trip, as disclosed in the Driver Privacy Notice and permission screen. |
| Passenger data | Use trip and passenger information only to perform the assigned service. Do not copy, retain, sell, solicit, or disclose it. |
| Credentials | Maintain every required license, permit, certification, inspection, registration, and insurance policy. |
| Incidents | Immediately report crashes, injuries, police contact, safety threats, suspected data exposure, and material passenger complaints. |
| Review | Premier Ride may suspend access for safety, fraud, legal, or security reasons. Where practicable, drivers may request review under Section 31. |

1. Agreement and Acceptance
These Driver App Terms and Conditions (Terms) are a binding agreement among the individual accessing the App and any Affiliate for which that individual acts (Driver, Affiliate, you, or your), Premier Ride Inc. (Premier Ride), and Travelingoo Co. (Travelingoo). Premier Ride and Travelingoo are referred to together as the Platform Parties. These Terms govern access to and use of the Premier Ride driver mobile application, related portals, software, communications, booking, dispatch, payment administration, and driver-facing services (collectively, the App).
You accept these Terms when you tap an acceptance button, create or use an account, accept a trip, or otherwise access the App after receiving notice of them. If you do not agree, do not access or use the App. If you use the App for a company or transportation provider, you represent that you have authority to bind that organization, and Driver includes both you and that organization where the context permits.
The App is intended only for authorized drivers and transportation personnel. It is not a consumer booking application and does not itself grant a right to receive trips, remain active, or receive any minimum amount of work or compensation.
Travelingoo operates the customer-facing booking platform and is the merchant responsible for charging customers and administering customer cancellations, refunds, and payment disputes. Premier Ride handles booking, dispatch, and related administration for Travelingoo. Premier Ride is a joint contracting party solely for those platform and administrative functions. Neither Platform Party provides, performs, directs, controls, or guarantees transportation and neither is a motor carrier, limousine carrier, taxicab company, transportation network company, chauffeur employer, or transportation provider merely because it accepts a booking, processes payment, communicates standards, or facilitates a Trip.
The independent Affiliate that accepts a Trip is the transportation provider and solely controls the means and manner of transportation, subject to applicable law, the accepted reservation requirements, and passenger safety obligations. The chauffeur performs services for the Affiliate and not for either Platform Party. Affiliate and chauffeur identity will be disclosed to a customer when requested, when operationally necessary for service or safety, or when required by law. Nothing in these Terms prevents a regulator or court from applying a status or duty that cannot lawfully be waived.
2. Definitions
- Affiliate means a transportation company, fleet operator, network partner, or other business authorized to receive or perform Premier Ride trips.
- Platform Parties means Premier Ride Inc. and Travelingoo Co., acting in their booking, dispatch, payment, technology, and administrative capacities and not as transportation providers.
- Driver Agreement means any employment agreement, independent contractor agreement, affiliate agreement, rate card, policy acknowledgment, or other written agreement governing the Driver's relationship with Premier Ride or an Affiliate.
- Passenger means a traveler, guest, booker, customer contact, or other person whose information appears in the App or who receives transportation services.
- Trip means a transportation assignment, reservation, transfer, hourly service, event movement, or related service offered, dispatched, managed, or recorded through the App.
- Driver Data means information relating to a Driver, device, vehicle, account, location, trip activity, performance, communications, safety, or payments that is collected or generated through the App.
- Service Standards means the operational requirements in these Terms, Schedule 2, the applicable Trip instructions, and any lawful policy provided before or during an assignment.
3. Scope and Order of Documents
These Terms operate together with the Driver Privacy Notice, applicable Driver Agreement, trip-specific instructions, safety policies, rate documents, and any jurisdiction-specific addendum. The Driver Privacy Notice describes data practices and is not replaced by these Terms. A separate background-check disclosure and written authorization will be provided when required; consent to these Terms alone is not intended to serve as that authorization.
If documents conflict, the following order generally applies: (a) mandatory law; (b) a jurisdiction-specific addendum; (c) a signed Driver Agreement for relationship and compensation matters; (d) these Terms for App access, passenger data, security, and platform conduct; and (e) general operational guidance. A trip instruction controls only that Trip and cannot waive safety, legal, licensing, or insurance requirements.
4. Eligibility and Authority
To use the App, you must be at least 18 years old and satisfy any higher age required by law, insurer, vehicle class, customer contract, or Premier Ride policy. You must have legal capacity to contract and be legally authorized to work or provide services in every applicable jurisdiction. You must not use the App if your account has been suspended or terminated unless Premier Ride expressly restores access.
You represent on an ongoing basis that all information and documents you provide are complete, accurate, current, and authentic. You will promptly report any change that may affect eligibility, including an expired, restricted, suspended, or revoked license; criminal charge or conviction where legally reportable; impaired-driving event; serious moving violation; insurance lapse; vehicle change; medical restriction affecting safe driving; or loss of work authorization.
5. Driver Status and Relationship
The App is a technology and operations tool. These Terms do not by themselves create an employment relationship, independent contractor relationship, partnership, joint venture, agency, franchise, fiduciary relationship, or entitlement to benefits. The Driver's status is determined by the applicable Driver Agreement, the parties' actual relationship, and governing law. Labels in a contract do not override mandatory law.
An employee remains subject to wage and hour laws, employment policies, and lawful instructions. An independent contractor or Affiliate remains responsible for its independent business obligations to the extent provided by its Driver Agreement and law. Nothing in these Terms waives nonwaivable rights, remedies, wages, reimbursement, leave, benefits, workers' compensation, unemployment rights, collective rights, or protections against retaliation.
Each Affiliate is solely responsible for recruiting, engaging, supervising, scheduling, compensating, disciplining, and, when appropriate, terminating its chauffeurs and other personnel. The Affiliate is responsible for all payroll, wages, overtime, benefits, reimbursements, payroll taxes, unemployment obligations, workers' compensation, tax reporting, immigration and work authorization compliance, and other obligations arising from its relationship with its personnel. The Affiliate is also responsible for its vehicles, maintenance, inspections, registrations, commercial insurance, licenses, permits, airport credentials, operating authority, driver conduct, safety, regulatory compliance, and all acts and omissions of its owners, employees, contractors, agents, and chauffeurs.
No chauffeur supplied by an Affiliate is an employee, agent, joint employee, or representative of either Platform Party. The Affiliate has exclusive responsibility for directing and controlling its chauffeurs and transportation operations. Platform safety, service, documentation, and customer-experience requirements define the result required for an accepted Trip and do not transfer operational control of transportation to a Platform Party.
An Affiliate or bona fide independent contractor remains nonexclusive and may perform services for other customers and competitors, advertise generally, and operate an independent business, provided that it does not misuse Premier Ride Confidential Information, solicit or divert Premier Ride clients, interfere with accepted Trips, or create a safety or scheduling conflict. Unless a separate written agreement or mandatory law provides otherwise, an Affiliate or contractor may choose when to be available, may decline a Trip before acceptance without penalty, and is not guaranteed any minimum volume, earnings, territory, exclusivity, or duration of access. Once a Trip is accepted, the accepting party is bound to perform it in accordance with the accepted terms or the cancellation provisions below.
6. Account Registration and Security
You must maintain one personal, verified account unless Premier Ride authorizes another arrangement in writing. You must protect your password, passcode, device, multifactor authentication method, and account recovery information. You may not sell, rent, lend, transfer, duplicate, or share an account; impersonate another person; permit a substitute driver to use your credentials; or use another person's account.
Notify Premier Ride immediately of suspected unauthorized access, a lost or stolen device, compromised credentials, or incorrect account information. You are responsible for activity conducted through your account to the extent allowed by law, except activity occurring after timely notice of compromise or caused by Premier Ride's failure to use legally required safeguards. Premier Ride may require identity verification, a live selfie, device verification, or reauthentication where lawful and reasonably necessary to prevent fraud or protect passengers.
7. Screening and Credential Verification
App access may be conditioned on lawful verification of identity, driving history, credentials, training, criminal history, sanctions status, motor vehicle records, drug or alcohol testing, and other checks permitted by law and relevant to the role. Any consumer report or investigative consumer report used for employment or engagement purposes will be handled under a separate disclosure and authorization process where required. Premier Ride will provide legally required pre-adverse and adverse action notices.
You authorize Premier Ride to verify submitted licenses, permits, registrations, insurance, inspections, training, and certifications with issuing authorities, insurers, Affiliates, and service providers, subject to applicable law and the Driver Privacy Notice. You must complete required training and renew credentials before expiration. Falsification, substitution, or concealment of a material fact may result in immediate suspension or termination.
Where lawful and relevant to the role, Premier Ride may conduct periodic, event-triggered, or continuous monitoring of motor vehicle records, license status, criminal history, sanctions, insurance, registration, permits, regulatory eligibility, and identity after onboarding. Premier Ride will use separate disclosures, authorizations, notices, and adverse-action procedures whenever required. A Driver and Affiliate must promptly disclose a change affecting eligibility and cooperate with lawful reverification. Refusal to provide legally required information or authorization may prevent continued access when Premier Ride cannot lawfully or safely permit service without it.
8. Vehicle Standards and Documentation
Every vehicle used for a Trip must be expressly approved for the assigned service class and must remain safe, clean, smoke-free, properly registered, inspected, maintained, and legally authorized for commercial passenger transportation. The vehicle must match the make, model, color, plate, seating capacity, and other details shown in the App unless dispatch approves a substitution before pickup.
The Driver must perform reasonable pre-trip and post-trip inspections; secure luggage; maintain required safety equipment; and promptly report mechanical, cosmetic, cleanliness, odor, pest, or safety issues. No vehicle may be used with an active safety recall or defect that makes operation unlawful or unsafe. Premier Ride may request photographs, inspection records, maintenance records, or proof of ownership or authorized use, subject to law and the Driver Agreement.
9. Insurance Requirements
Before going online or performing a Trip, the Driver and vehicle must be covered by every policy and endorsement required by applicable law, airport or port authority, permit, customer contract, and the Driver Agreement, including commercial automobile liability where required. Personal automobile insurance may exclude commercial or for-hire activity and may not be sufficient.
You must provide current proof of insurance, identify all authorized drivers and vehicles as required, comply with policy conditions, and immediately report cancellation, nonrenewal, reduction, reservation of rights, or any event that could impair coverage. Nothing in the App represents or guarantees that Premier Ride provides insurance to the Driver. Any coverage Premier Ride does provide is governed only by the applicable policy, endorsements, exclusions, limits, and separate written notice.
10. App Permissions and Driver Data
Depending on enabled features, the App may request access to precise and approximate location, background location, camera, photo library, microphone, Bluetooth, motion or activity data, notifications, contacts selected by you, phone functions, storage, device identifiers, network information, and diagnostic data. Certain permissions are necessary for dispatch, navigation, identity verification, proof of service, safety, communications, fraud prevention, and support. The permission screen and Driver Privacy Notice provide additional details.
Premier Ride may collect and process account information; identity and credential records; vehicle and insurance information; location and route data; online and availability status; Trip offers, acceptances, timestamps, status updates, routes, stops, and completion records; passenger and dispatch communications; photos and signatures; ratings, complaints, and support records; payment and tax information; device, log, crash, and security data; and inferences reasonably used for safety, fraud detection, service quality, or legal compliance.
Premier Ride may disclose Driver Data to passengers or bookers as reasonably necessary to perform a Trip, including name, photograph, vehicle details, location or estimated arrival, and contact functionality. Data may also be shared with Affiliates, customers, insurers, professional advisers, vendors, authorities, or transaction counterparties as described in the Driver Privacy Notice or required by law. These Terms do not authorize a sale of precise geolocation or sensitive data contrary to applicable law.
Identity and fraud controls may include live-selfie capture, facial comparison, liveness testing, document authentication, device reputation, duplicate-account detection, location consistency, fraud scoring, and automated risk flags. Premier Ride will provide any separate biometric notice and obtain any separate consent required by law before collecting or processing biometric identifiers or biometric information. The applicable notice will identify the purpose, service providers, retention period, and destruction process. Unless law permits otherwise, biometric information will be retained only as long as reasonably necessary for the disclosed purpose or required recordkeeping and then securely destroyed.
Automated systems may prioritize or flag an account for review but will not be the sole basis for permanent deactivation when applicable law requires human involvement or when Premier Ride policy provides review. A qualified person will evaluate relevant evidence, the seriousness and reliability of the information, the Driver's response, and reasonably available exculpatory information before a permanent decision. Drivers may report a failed selfie or suspected automated error through support and request an alternative review method where legally required.
11. Location Services and Telematics
When the relevant permission is enabled, the App may collect precise geolocation while open and may continue collecting it in the background while you are marked online, available, en route, waiting, performing a Trip, completing required post-trip steps, or using a safety or support feature. Collection behavior can depend on device settings, operating system, App version, Affiliate configuration, and the Driver Privacy Notice. Location may be used for dispatch, passenger arrival visibility, route support, service verification, safety response, estimated times, billing support, fraud prevention, dispute review, and legal compliance.
Do not go online or accept a Trip if you are unwilling or unable to provide the location access reasonably required for that Trip. You may use device controls to change permissions, but doing so may limit or disable App functions. Premier Ride will not require off-duty location collection beyond what is disclosed and legally permitted. Any vehicle telematics, dash camera, biometric, or continuous audio monitoring requires a separate notice or consent where mandated by law.
Location and estimated arrival information may be delayed, incomplete, or inaccurate. It does not replace safe judgment, lawful navigation, or direct confirmation. You must never speed, drive unsafely, or violate law to meet an estimated arrival time.
12. Electronic Communications and Signatures
You consent to receive operational communications electronically through in-app notifications, SMS, telephone, email, or other contact information you provide. Operational messages may include security codes, Trip changes, passenger or dispatch communications, safety notices, payment information, and legal notices. Message and data rates may apply. Marketing communications require any consent separately required by law and may be opted out of without losing essential operational messages.
You consent to electronic records, acknowledgments, and signatures. You may request a paper copy or withdraw electronic consent by contacting Premier Ride, but withdrawal may prevent App use. You are responsible for keeping contact information current and retaining copies of records. Electronic timestamps, acceptance logs, and authentication records may evidence assent, subject to applicable law.
13. Trip Offers Acceptance and Performance
A Trip offer may include estimated or incomplete information and is not guaranteed until confirmed. Unless a Driver Agreement or law says otherwise, a Driver may accept or decline an offer. Once accepted, the Driver must timely review all details, promptly disclose conflicts or inability to perform, and perform the Trip personally unless Premier Ride approves a qualified substitute through an authorized process.
You must not accept overlapping assignments that create a material risk of delay, abandonment, or unsafe driving. You must arrive in the approved vehicle, at the required staging or pickup point, at the required time, and remain available for lawful updates. You may not materially change the route, add unauthorized stops or charges, transfer the Trip, or cancel after acceptance except for safety, legal necessity, passenger conduct, emergency, dispatch approval, or another reason permitted by the Driver Agreement.
Flight, traffic, weather, venue, and schedule information may change. The Driver remains responsible for monitoring information reasonably necessary to perform the Trip and for promptly contacting dispatch when instructions are unclear, contradictory, unsafe, or impossible.
14. Trip Status Accuracy and Operational Updates
You must use status controls accurately and in real time when safe, including accepted, en route, on location, passenger on board, waiting, completed, no-show, and any required intermediate status. Never mark a Trip complete before service ends, fabricate timestamps or location, conceal a delay, or create a false no-show.
When Premier Ride requires driver details in advance, the Driver or Affiliate must provide complete and accurate chauffeur and vehicle information within the stated deadline. Material changes must be reported immediately. Failure to provide status updates may affect passenger safety, billing, customer obligations, and future App access.
15. Passenger Service Standards and Ratings
Drivers must provide lawful, punctual, discreet, courteous, and professional service consistent with the reserved class and Trip instructions. Unless an approved exception applies, chauffeurs must follow the attire, meet-and-greet, signage, luggage assistance, vehicle presentation, water, temperature, route, privacy, and communication standards in Schedule 2.
A Driver must protect passenger dignity and privacy, avoid unnecessary conversation or questions, honor reasonable comfort requests, and never disclose a passenger's identity, itinerary, location, conversation, image, preferences, or business. The Driver must not request a gratuity, review, personal contact, social-media connection, or direct future booking unless expressly authorized by Premier Ride.
Premier Ride may collect passenger, customer, dispatch, and quality-assurance ratings and feedback. The standard Driver rating is calculated from the most recent 50 rated Trips; until 50 rated Trips exist, the available ratings may be used for coaching and risk review. Ratings that Premier Ride reasonably determines are fraudulent, retaliatory, discriminatory, unrelated to service, or affected by a verified platform error may be excluded. A single low rating or uncorroborated ordinary-service complaint will not by itself cause permanent deactivation, although a serious safety allegation may justify immediate temporary suspension while reviewed.
A Driver whose rating falls below 4.90 will receive a warning and service guidance. A rating below 4.85 may require a documented improvement plan, training, coaching, vehicle inspection, or monitored service period. A rating below 4.80 may support suspension after human review of the rating history, number and recency of rated Trips, complaint patterns, relevant context, and prior improvement opportunities. Premier Ride may use immediate suspension for a credible serious safety, fraud, violence, discrimination, harassment, identity, licensing, or insurance concern regardless of rating. Reinstatement may require successful completion of corrective measures and a written decision under Section 31.
16. Safety and Distracted Driving
Safety overrides schedule, customer preference, dispatch instruction, and estimated arrival. Drivers must comply with traffic laws; seat-belt and child-restraint requirements; hours-of-service, fatigue, and commercial vehicle rules where applicable; airport, port, venue, and curb regulations; and all lawful safety policies. Drivers must not operate while impaired by alcohol, cannabis, illegal drugs, medication, illness, fatigue, distraction, emotional condition, or any other cause.
Do not hold, type on, read, or manually interact with a device while the vehicle is moving or temporarily stopped in traffic. Mount the device lawfully, use hands-free functions only where legal and safe, and pull over in a safe lawful location before entering information or handling nonurgent communications. The App must never be used in a way that violates distracted-driving law.
Call emergency services first when immediate danger, injury, or a serious crash occurs. Do not transport weapons, illegal substances, hazardous materials, unrestrained animals, or more passengers or luggage than the vehicle can lawfully and safely accommodate. A Driver may refuse or end service when reasonably necessary for safety or legality, but must avoid discrimination and promptly notify dispatch.
17. Nondiscrimination Accessibility Minors and Vulnerable Passengers
Drivers must provide service without unlawful discrimination based on race, color, ethnicity, national origin, ancestry, religion, sex, pregnancy, sexual orientation, gender identity or expression, age, disability, medical condition, genetic information, military or veteran status, marital or family status, citizenship, language, or any other protected characteristic. Harassment, retaliation, profiling, derogatory speech, and selective refusal are prohibited.
Drivers must comply with applicable disability-access and service-animal laws, provide reasonable assistance within their training and physical ability, and transport mobility aids when the reserved vehicle can safely accommodate them. A Driver may not charge an unauthorized fee, require documentation for a service animal when law prohibits it, or deny a passenger because of a disability or protected service animal. Contact dispatch if the reserved vehicle cannot safely meet an accessibility need.
Passengers younger than 16 must be accompanied throughout the Trip by a parent, legal guardian, or responsible adult, unless the Trip is performed under a separately approved and legally compliant school or youth transportation program. An unaccompanied passenger who is 16 or 17 may be transported only when Premier Ride has received written authorization from a parent or legal guardian before pickup. The authorization must identify the minor, guardian, Trip, pickup and destination, authorized contacts, and emergency instructions, and must include any consent required by law. The Driver must follow identity, check-in, handoff, communication, and no-unscheduled-stop procedures and may not leave the minor with an unauthorized person.
The parent, guardian, or booking party must request any required child restraint in advance. Unless Premier Ride expressly confirms that an approved Affiliate will supply and install a suitable child seat, the responsible adult must provide and correctly install it. A Driver must refuse or pause transportation when a legally required restraint is absent, appears unsuitable, cannot be secured, or the child cannot be transported safely. No unauthorized fee may be imposed.
For a vulnerable adult or passenger requiring supervision, the booking party must disclose the assistance reasonably needed and provide guardian, caregiver, or emergency contact information where appropriate and lawful. A chauffeur provides transportation assistance within training and physical ability but is not a medical provider, personal-care attendant, legal custodian, or medication administrator. Premier Ride or the Affiliate may require an accompanying responsible adult when safe transportation cannot reasonably be provided by a chauffeur alone. Emergency services must be contacted when immediate medical or safety risk exists.
18. Prohibited Conduct
- Unsafe, reckless, aggressive, impaired, fatigued, distracted, unlawful, or discourteous driving.
- Violence, threats, harassment, sexual conduct, unwanted contact, retaliation, intimidation, stalking, discrimination, or possession of a weapon contrary to law or policy.
- Smoking, vaping, consuming alcohol or impairing substances, or allowing prohibited use in a Trip vehicle.
- Fraud, collusion, false documents, identity substitution, location spoofing, manipulated status records, fabricated charges, false no-shows, or unauthorized payment collection.
- Unauthorized solicitation, street hails, off-platform booking, fare negotiation, passenger diversion, side agreements, or distribution of personal or competing-business materials.
- Opening passenger luggage, retaining property, photographing documents, or accessing information beyond what is needed to perform the Trip.
- Reverse engineering, scraping, automated access, malware, interference, credential testing, bypassing security, or using the App to build a competing dataset or service.
- Retaliating against a person who makes a good-faith safety, legal, wage, discrimination, privacy, or compliance report or participates in an investigation.
19. Passenger Relationships Nonsolicitation and Noncircumvention
Passenger and customer relationships introduced through the App are confidential business relationships. During an active Trip and while you retain access to nonpublic Trip or passenger information, you may not use that information to divert, rebook, solicit, invoice, or accept direct business outside authorized Premier Ride channels, or help another person do so. This restriction does not prohibit lawful preexisting relationships that are documented and disclosed, general advertising not targeted using Premier Ride information, legally protected activity, or conduct Premier Ride approves in writing.
This Section is intended to protect confidential information and active customer relationships, not to prevent lawful competition or impose a post-termination noncompete. Any more specific nonsolicitation or noncircumvention obligation must appear in the applicable Driver Agreement and is enforceable only to the extent permitted by law.
During the relationship and for 24 months after the later of the last Premier Ride Trip performed or the last authorized access to Premier Ride client information, an Affiliate and its personnel may not directly or indirectly solicit, divert, accept, arrange, or facilitate transportation business from a Premier Ride client, passenger, booker, travel arranger, corporate account, or referral source first introduced or materially developed through Premier Ride, except through Premier Ride or with Premier Ride's prior written authorization. Prohibited conduct includes offering direct rates, exchanging personal or competing-business contact information for future service, moving a booking off platform, asking a client to cancel and rebook directly, using another person or entity to solicit, or responding to a targeted opportunity created through Premier Ride Confidential Information. Lawful general advertising not directed using Premier Ride information and documented preexisting business relationships are excluded.
The parties acknowledge that unauthorized solicitation or diversion may cause harm that is difficult to measure. Premier Ride may bring an action for breach of contract and seek temporary, preliminary, and permanent injunctive relief; actual and consequential damages where recoverable; restitution or disgorgement of revenue, commissions, or profits obtained from diverted business; an accounting; and reasonable attorneys' fees, expert fees, court costs, arbitration costs, and enforcement expenses to the extent permitted by law. These remedies are cumulative and do not prevent recovery under the NDA, Driver Agreement, Affiliate agreement, or applicable law. No remedy will operate as an unenforceable penalty, and the restriction will be narrowed to the maximum enforceable scope if required.
20. Confidentiality and Data Security
Confidential Information includes passenger identities and contact details; itineraries, locations, travel patterns, conversations, credentials, signatures, and payment information; customer and Affiliate information; nonpublic rates, contracts, procedures, software, security controls, business plans, and incident information; and any other information reasonably understood as confidential. It excludes information lawfully public without breach, independently developed without use of Confidential Information, or lawfully received without a duty of confidence.
Use Confidential Information only to perform authorized duties. Access only the minimum information needed; do not screenshot, export, copy, print, sell, disclose, post, or retain it; do not store it in personal contacts, notes, photos, cloud drives, messaging services, or navigation history beyond operational necessity; and securely delete it when no longer needed. Use a device lock, current software, reputable security controls, and secure networks. Do not use rooted or jailbroken devices or public/shared devices unless approved.
Immediately report suspected loss, unauthorized access, phishing, misdirected messages, malware, disclosure, or other security incident. Preserve evidence and cooperate with containment. Do not notify passengers, media, or third parties about an incident unless authorized or legally required. Nothing limits lawful whistleblowing, reporting to government, discussing legally protected working conditions, or exercising rights that cannot be waived.
21. Photos Audio Video and Recordings
Use the camera or upload functions only for an authorized operational purpose, such as identity verification, vehicle documentation, damage evidence, meet-and-greet confirmation, lost property, or proof of service. Avoid capturing faces, IDs, payment cards, home interiors, private conversations, or unrelated surroundings unless necessary, lawful, and authorized. Never post Trip media publicly.
Do not make audio, video, dash-camera, body-camera, or telephone recordings of passengers or conversations unless the equipment and use are approved and every notice or consent required by the applicable jurisdiction has been provided. Recording laws vary by location. Premier Ride may require removal or secure delivery of unauthorized or relevant recordings, subject to legal preservation obligations.
22. Lost Property
Inspect the vehicle after each Trip when safe. Do not use, open, copy, photograph, sell, discard, or condition return of passenger property on a tip or fee. Promptly report found property through the authorized process, preserve it securely, and follow dispatch instructions for documented return or transfer. For weapons, controlled substances, suspicious items, or property presenting danger, do not handle more than necessary and contact law enforcement or emergency services as appropriate.
23. Rates Payments Cancellations and Adjustments
Rates, minimums, wait time, parking, tolls, gratuities, cancellation amounts, no-show terms, bonuses, reimbursements, deductions, chargebacks, and payment timing are governed by the applicable Driver Agreement, rate card, Trip offer, and mandatory law. The App may display estimates or preliminary amounts that remain subject to validation and authorized adjustment. Nothing permits a deduction, forfeiture, or withholding prohibited by wage, reimbursement, consumer, payment, or other law.
Unless the written commercial terms permit it, Drivers may not demand or collect cash, card details, deposits, extra fees, or direct payments from a passenger. Voluntary tips belong to the person entitled to them under the applicable agreement and law. Travelingoo, directly or through Premier Ride as administrator, may correct duplicate payments, mathematical errors, fraud, unauthorized charges, and customer adjustments after giving any notice or opportunity to dispute required by law or contract.
A Driver must review payment statements and submit a documented dispute within 30 days after the statement or payment, unless a longer period is required by law or the Driver Agreement. Failure to meet a contractual notice period will not waive a nonwaivable wage claim. Independent businesses are responsible for taxes, permits, payroll, and reporting allocated to them by law and their agreement; employees remain subject to lawful payroll withholding.
23.1 Binding rate
A Trip offer accepted through the App or authorized dispatch channel creates a binding service commitment at the displayed or separately confirmed affiliate rate. Unless the offer states otherwise, the affiliate rate includes ordinary operating expenses and gratuity but excludes authorized extraordinary parking, tolls, airport or venue fees, additional wait time, material route changes, and approved extra stops. An Affiliate may not renegotiate an accepted rate with a passenger or collect an unauthorized payment.
23.2 Passenger cancellation
For a sedan or SUV Trip, cancellation is timely only when completed at least three hours before scheduled pickup. For a Sprinter Trip, cancellation is timely only when completed at least 12 hours before scheduled pickup. If cancellation occurs after the applicable cutoff, Travelingoo will charge the customer, and eligible Affiliate compensation will be based on the booked transfer rate for a transfer or a two-hour minimum at the confirmed hourly rate for an hourly Trip, subject to payment collection, the accepted rate terms, and mandatory law. For a minibus or charter bus, cancellation completed fewer than seven calendar days before scheduled pickup results in a charge equal to 50% of the booked Trip total. Any separately disclosed nonrefundable deposit remains governed by the booking confirmation and will be credited against, not added to, the applicable cancellation charge unless expressly stated and lawful.
23.3 No show
A no-show may be declared only after the Driver arrives on time at the correct authorized location, records on-location status, completes the required passenger and dispatch contact attempts, waits the included period, and obtains any required dispatch approval. A verified passenger no-show is charged at the full booked transfer rate or the applicable hourly minimum, and a minibus or charter no-show is charged at the full booked Trip total, subject to the customer agreement and applicable law. Affiliate compensation is payable only after required proof is accepted and may be adjusted if the customer proves that the Driver, vehicle, location, timing, contact attempts, or status records were deficient.
23.4 Wait time
Airport-arrival Trips include 60 minutes of wait time beginning at actual flight arrival or another time expressly stated in the booking. Non-airport private pickups include 15 minutes beginning at scheduled pickup. After included time, additional waiting is billed in 15-minute increments at the applicable confirmed hourly rate or other rate stated in the booking. The Driver must remain at the authorized location, maintain accurate status, and obtain approval before leaving or incurring unusual parking or access costs.
23.5 Extra stops and changes
A passenger-requested extra stop, material route change, extension, vehicle upgrade, or added service must be reported and approved through the App or dispatch when reasonably possible. Additional time is charged using the confirmed hourly rate in 15-minute increments, subject to any disclosed minimum, and material distance or service costs may be added when approved. The Driver may not demand cash or condition completion on direct payment.
23.6 Tolls parking and other expenses
Necessary tolls, airport charges, venue charges, and parking not already included in the accepted rate are reimbursable only when permitted by the booking terms and supported by a receipt, electronic record, or other reliable evidence submitted within seven days after Trip completion. No markup is allowed unless disclosed and approved. Avoidable fines, citations, penalties, towing, unlawful parking, and expenses caused by Driver or Affiliate error are the Affiliate's responsibility.
23.7 Biweekly payment
Travelingoo, directly or through Premier Ride as its payment administrator, will issue eligible Affiliate payments every two weeks by wire transfer under the published payment calendar. The Affiliate must maintain accurate banking and tax information. A payment is deemed made when the transmitting bank is instructed to send funds to the approved account. Bank delays, rejected transfers, intermediary-bank charges, incorrect instructions, and receiving-bank fees are handled under the Affiliate agreement. The payment statement will identify Trips, approved extras, credits, offsets, adjustments, and chargebacks.
23.8 Chargebacks and offsets
Premier Ride may withhold or offset only a documented duplicate or mistaken payment, customer refund, payment-card chargeback, fraud loss, unauthorized charge, contractual indemnity, or loss reasonably attributable to the Affiliate's breach, cancellation, no-show, misconduct, documentation failure, or failure to perform. Premier Ride will provide reasonable written detail and, except for urgent fraud or legal holds, allow 10 business days for a documented dispute before a final offset. Premier Ride may temporarily reserve the disputed amount while reviewing evidence. No deduction may violate wage, reimbursement, payment, or other mandatory law.
23.9 Cleaning property damage and recovery
The Driver must report passenger-caused contamination, smoking, bodily fluids, unusual cleaning, or property damage through the authorized channel as soon as safely practicable and no later than 24 hours after Trip completion. The report must include the Trip number, time, description, before-and-after photographs or video where available, witness information, and proof that the condition was not ordinary wear. A professional invoice, paid receipt, or itemized estimate must be submitted within seven days unless Premier Ride grants an extension. Premier Ride determines whether to seek recovery from the customer and may reject unsupported, inflated, untimely, duplicative, or ordinary-wear claims.
If Travelingoo collects an approved cleaning or damage amount, the eligible amount will be remitted or credited to the Affiliate in the next practicable payment cycle, less any lawful refund, reversal, deductible, collection cost expressly authorized by agreement, or chargeback. Neither Platform Party insures an Affiliate's vehicle or guarantees customer recovery. Except to the extent caused by a Platform Party's proven breach or negligence, the Affiliate bears uninsured, unrecovered, excluded, or deductible vehicle and property losses and all losses caused by its personnel, maintenance, equipment, or failure to preserve evidence.
24. Expenses Devices and Connectivity
Responsibility for a compatible device, mount, cellular service, data, charging, tolls, parking, fuel, maintenance, uniforms, and other expenses is determined by the Driver Agreement and applicable reimbursement law. The Driver must keep the device charged, maintain supported operating-system and App versions, and have reliable connectivity reasonably sufficient for assigned Trips. No provision shifts a business expense to an employee where law requires reimbursement.
25. App License and Intellectual Property
Subject to these Terms, Premier Ride grants you a limited, personal, revocable, nonexclusive, nontransferable, nonsublicensable license to install and use the App solely for authorized Premier Ride activities. Premier Ride and its licensors retain all ownership of the App, software, content, trademarks, service marks, designs, databases, documentation, and related intellectual property. No rights are granted by implication.
You may not copy, modify, distribute, sell, lease, sublicense, translate, create derivative works, reverse engineer, decompile, extract source code, remove notices, frame, mirror, scrape, benchmark for publication, access through unauthorized automation, or use the App or data to develop or train a competing service, model, or dataset, except to the limited extent a restriction is prohibited by law.
26. Third Party Services
The App may interact with maps, navigation, communications, identity, payment, analytics, cloud, background-check, or other third-party services. Their terms and privacy practices may apply separately. Premier Ride does not control and is not responsible for third-party services, but this does not limit responsibility imposed by law for vendors acting on Premier Ride's behalf. Always exercise independent judgment; navigation and traffic services may be inaccurate or unsafe.
27. User Content and Feedback
You retain ownership of content you lawfully submit. You grant Premier Ride a worldwide, nonexclusive, royalty-free license to host, store, reproduce, transmit, display, adapt, and use submitted content only as reasonably necessary to operate, secure, support, document, improve, and comply with law in connection with the App and services. This license ends when the content is no longer reasonably needed, subject to backups, legal retention, disputes, and deidentified records.
You represent that you have the right to submit the content and that it is accurate and lawful. Feedback and suggestions may be used without restriction or payment, but Premier Ride will not publicly identify you as the source without permission unless legally allowed and appropriate.
28. Availability Updates and Changes to the App
The App may be unavailable because of maintenance, connectivity, third parties, emergencies, security events, or causes outside reasonable control. Premier Ride does not guarantee uninterrupted access, compatibility with every device, or receipt of Trip opportunities. Keep alternate dispatch contact information where provided and follow the outage procedure. Never continue a Trip without the information or authorization needed to do so safely and lawfully.
Premier Ride may update, repair, replace, limit, or discontinue features. Security and critical operational updates may be mandatory. Material changes affecting data collection or Driver rights will receive notice and consent where required. App changes do not alter earned compensation or signed commercial terms without the agreement or notice required by law.
29. Monitoring Audits Fraud and Investigations
To protect passengers, drivers, customers, and the platform, Premier Ride may lawfully review App logs, location and Trip records, communications sent through company systems, documents, complaints, payments, device and security signals, and other relevant records. Automated tools may flag anomalies but material adverse decisions should include appropriate human review where required by law or policy.
You must cooperate reasonably with lawful safety, fraud, insurance, customer, billing, and compliance reviews; preserve relevant information; and provide truthful information. Cooperation does not require waiver of legal rights or privilege, consent to an unlawful search, or self-incrimination beyond what law permits. Premier Ride will maintain confidentiality to the extent reasonably possible and will not retaliate for protected reports or activity.
30. Incident Complaint and Damage Reporting
Immediately contact emergency services when needed, then notify Premier Ride as soon as safely practicable of any crash, injury, passenger illness, threat, assault, harassment, discrimination allegation, police or regulatory contact, arrest during a Trip, vehicle breakdown, service-animal or accessibility issue, missing passenger, property damage, lost property of high value, data incident, or other event reasonably likely to create safety, legal, insurance, or reputational risk.
Do not admit legal liability, promise payment, alter records, delete messages or media, coach witnesses, or post about an incident. Exchange information as required by law, obtain names and evidence safely, and submit a complete factual report. Cooperate with insurers and authorities as required, while preserving applicable rights. Reporting a concern in good faith is required and protected from retaliation.
A nonemergency service complaint should be reported within 24 hours after the Driver or Affiliate becomes aware of it. Collision, injury, police contact, alleged assault, alleged discrimination, vehicle breakdown affecting service, data exposure, or significant property damage must be reported immediately after emergency needs are addressed. The Affiliate must preserve photographs, video, dash-camera files, App messages, status records, receipts, witness details, police information, and vehicle records relevant to the event and must not destroy them while a claim, investigation, chargeback, or legal hold is pending.
31. Suspension Deactivation and Review
Premier Ride may limit, suspend, or deactivate App access for an expired credential; safety or security risk; suspected fraud or identity misuse; material breach; passenger or customer complaint; legal, insurer, airport, or regulatory requirement; investigation; inactivity; technology risk; or termination of the underlying relationship. Premier Ride may act immediately when reasonably necessary to protect people, data, property, or legal compliance.
Except where prohibited, unsafe, impracticable, or likely to compromise an investigation, Premier Ride will provide a general reason for a material deactivation and a way to request review. A request must be submitted within 14 days through Driver Support in the App or the contact channel published at premierrideinc.com, together with relevant documents. Premier Ride will seek review by a person not solely responsible for the original decision and will communicate an outcome within a reasonable time. This process does not replace grievance, wage, discrimination, statutory, or contractual procedures that apply separately.
Access may be restored with conditions such as renewed documents, training, inspection, account security steps, or investigation completion. Temporary suspension is not a determination of fault. App deactivation does not itself determine whether an employee's employment or an Affiliate's agreement ends; the applicable agreement and law control.
Premier Ride may deactivate immediately, with or without prior notice where lawful, for a credible threat to passenger or public safety; violence, sexual misconduct, harassment, discrimination, retaliation, impaired driving, serious reckless driving, fraud, identity substitution, account sharing, falsified documents, location manipulation, theft, client solicitation or diversion, data misuse, loss of required license or insurance, criminal or regulatory prohibition, material confidentiality breach, refusal to cooperate with an urgent safety investigation, or conduct likely to expose a person to imminent harm. Immediate deactivation may be temporary while facts are investigated.
For a curable nonurgent issue, such as an expired routine document, incomplete training, minor first-time service deficiency, correctable vehicle condition, or rating-based performance concern, Premier Ride will ordinarily give written notice describing the issue and at least five business days to correct it, unless law, insurer requirements, a customer contract, or the circumstances require a different period. A rating-based suspension ordinarily follows the warning and improvement steps in Section 15. Repeated violations, failure to cure, dishonesty during review, or a material breach may result in permanent deactivation.
32. Term and Termination
These Terms begin upon acceptance and continue while you possess or use an account. You may stop using the App and request account closure, subject to operational, payment, investigation, and legal-retention needs. Premier Ride may terminate these Terms and revoke access as described above or when the underlying Driver Agreement ends.
Upon termination, stop accessing the App, remove locally stored passenger or Confidential Information, and return company property. Sections concerning accrued payments, confidentiality, data security, intellectual property, investigations, indemnification, liability, dispute resolution, and general contract terms survive to the extent their nature requires. Account deletion does not require deletion of records that Premier Ride must or may lawfully retain.
33. Indemnification
To the extent permitted by law, a Driver acting as an independent business or Affiliate will defend, indemnify, and hold harmless the Platform Parties, their affiliates, and their officers, directors, employees, and agents from third-party claims, losses, penalties, damages, and reasonable legal costs arising from that Driver's or Affiliate's: (a) unlawful or willful misconduct; (b) material breach of these Terms or the Driver Agreement; (c) operation, ownership, maintenance, or insurance of a vehicle; (d) bodily injury, death, or property damage caused by its negligent or wrongful act; or (e) violation of another person's rights. No indemnity applies to the extent a loss was caused by an indemnified party's negligence, willful misconduct, legal violation, or nondelegable duty.
This Section does not require an employee to indemnify an employer except to the limited extent expressly permitted by applicable law, and it does not waive workers' compensation or other nonwaivable protections. Premier Ride may control the defense of an indemnified claim with counsel reasonably selected by it, but may not settle a claim imposing nonmonetary duties or an admission on the indemnifying party without consent, not to be unreasonably withheld.
34. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED AS IS AND AS AVAILABLE. PREMIER RIDE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE. PREMIER RIDE DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, OR COMPATIBLE WITH EVERY DEVICE, OR THAT ANY PARTICULAR NUMBER OR VALUE OF TRIPS WILL BE AVAILABLE.
THE APP DOES NOT REPLACE PROFESSIONAL JUDGMENT, SAFE DRIVING, EMERGENCY SERVICES, LEGAL COMPLIANCE, OR REQUIRED INSURANCE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO THESE DISCLAIMERS APPLY ONLY TO THE EXTENT LAWFUL. NOTHING DISCLAIMS AN EXPRESS OBLIGATION IN A SIGNED DRIVER AGREEMENT OR A WARRANTY THAT CANNOT LEGALLY BE DISCLAIMED.
THE AFFILIATE, NOT EITHER PLATFORM PARTY, PROVIDES AND CONTROLS TRANSPORTATION. TRANSPORTATION-RELATED CLAIMS, INCLUDING CLAIMS INVOLVING ACCIDENTS, INJURIES, DELAYS, VEHICLES, OR CHAUFFEUR CONDUCT, MUST FIRST BE DIRECTED TO THE AFFILIATE AND ITS INSURER. TRAVELINGOO MAY ELECT TO ASSIST, MEDIATE, REIMBURSE, OR OTHERWISE ADDRESS A CLAIM CASE BY CASE, BUT DOING SO DOES NOT ADMIT LIABILITY, CREATE A DUTY TO DO SO IN ANOTHER CASE, OR MAKE EITHER PLATFORM PARTY A CARRIER OR TRANSPORTATION PROVIDER. EACH PLATFORM PARTY REMAINS RESPONSIBLE FOR ITS OWN ACTS AND FOR NONWAIVABLE OBLIGATIONS.
35. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM PARTIES AND THEIR AFFILIATES WILL NOT BE LIABLE UNDER THESE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, LOST DATA, LOST BUSINESS, OR LOSS OF GOODWILL, ARISING FROM APP USE OR INABILITY TO USE THE APP, EVEN IF ADVISED OF THE POSSIBILITY. THE PLATFORM PARTIES' COMBINED AGGREGATE LIABILITY ARISING SOLELY FROM THE APP WILL NOT EXCEED THE GREATER OF $1,000 OR THE AMOUNT PAID OR PAYABLE TO THE CLAIMANT THROUGH THE APP DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS DO NOT APPLY TO PAYMENT OF EARNED WAGES OR COMPENSATION; BODILY INJURY OR DEATH CAUSED BY NEGLIGENCE TO THE EXTENT LIABILITY CANNOT BE LIMITED; FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT; UNLAWFUL DISCRIMINATION OR RETALIATION; PRIVACY OR DATA-SECURITY LIABILITY THAT CANNOT BE LIMITED; INDEMNITY OBLIGATIONS; OR ANY RIGHT OR REMEDY THAT LAW DOES NOT ALLOW THE PARTIES TO LIMIT. A DRIVER AGREEMENT MAY PROVIDE DIFFERENT LIMITS FOR COMMERCIAL OR TRANSPORTATION SERVICES.
36. Dispute Resolution Arbitration and Class Waiver
36.1 Informal resolution
Before filing a covered claim, the claimant must send an individualized written notice describing the parties, facts, legal basis, requested relief, and contact information through the App legal-notice channel or the contact method published at premierrideinc.com. The parties will attempt in good faith to resolve the matter for 30 days. A limitations period is tolled during this process to the extent permitted by law. This step is not required for emergency injunctive relief, a claim nearing expiration if notice would cause forfeiture, or a legally protected agency filing.
36.2 Agreement to arbitrate
Except for Excluded Claims below, Driver, Affiliate, Premier Ride, and Travelingoo agree that any dispute arising out of or relating to the App, these Terms, a Trip, Driver Data, suspension or deactivation, or the relationship between the parties will be resolved by final and binding individual arbitration under the Federal Arbitration Act. The arbitrator, not a court, will decide disputes about interpretation, scope, enforceability, or formation of this arbitration agreement, except that a court will decide disputes concerning the class, collective, consolidated, or representative action waivers.
36.3 Rules and location
Arbitration will be administered by the American Arbitration Association before one neutral arbitrator. A dispute involving an Affiliate business entity will proceed under the AAA Commercial Arbitration Rules. If applicable law requires a dispute involving an individual Chauffeur to proceed under workplace or employment arbitration rules or fairness standards, those applicable AAA rules and standards will govern. Texas law and the Federal Arbitration Act apply. The seat of arbitration is Harris County, Texas, although the arbitrator may permit video, telephone, or documents-only proceedings. The Platform Parties will pay arbitration fees to the extent required by applicable law or the administrator's rules. Each party bears its own attorneys' fees unless a statute, these Terms, another enforceable contract, or the arbitrator permits an award.
36.4 Individual proceedings only
To the fullest extent permitted by law, each party may bring covered claims only in an individual capacity, not as a plaintiff, claimant, or class member in a class, collective, coordinated, consolidated, mass, or representative proceeding. The arbitrator may award the same individual remedies a court could award but may not determine or grant relief for persons who are not parties to the individual arbitration. If a final decision holds a portion of this waiver unenforceable for a particular claim or remedy, that portion will proceed in court after the arbitrable issues are completed, unless law requires otherwise.
36.5 Excluded Claims
Arbitration does not apply to: (a) an individual claim in small-claims court while it remains there; (b) a claim for temporary emergency or injunctive relief involving safety, accounts, fraud, client solicitation or diversion, systems, intellectual property, trade secrets, Confidential Information, or enforcement of the NDA pending arbitration; (c) a workers' compensation, unemployment, or other claim committed by law to an administrative system; (d) a charge or communication with a government agency, although private relief may still be subject to arbitration where lawful; (e) claims a person may elect to bring in court under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act; or (f) any claim that applicable law prohibits from mandatory arbitration.
36.6 Opt out
You may opt out of this Section 36 by submitting a personally signed notice through Driver Support in the App or the contact method published at premierrideinc.com within 30 days after first accepting these Terms. The notice must identify your name, account email or telephone number, Affiliate if applicable, and a clear statement that you opt out of arbitration. Opting out will not affect App eligibility and will not modify a separate arbitration agreement you previously signed unless that agreement says otherwise. The Platform Parties will not retaliate for a valid opt-out.
36.7 Jury trial waiver
For any dispute that proceeds in court, each party knowingly waives trial by jury to the fullest extent permitted by law. If you timely opt out of arbitration, this jury waiver applies only if enforceable as an independent agreement under applicable law.
37. Governing Law
The Federal Arbitration Act governs Section 36. Subject to mandatory law and any jurisdiction-specific addendum, Texas law governs these Terms without regard to conflict-of-law principles. For a claim properly proceeding in court, the parties consent to exclusive jurisdiction in the state or federal courts located in Harris County, Texas, except that an individual small-claims action may be brought in an eligible local court and mandatory venue rules control. Nothing prevents either party from seeking relief or reporting to a government authority where law permits.
38. Changes to These Terms
The Platform Parties may revise these Terms prospectively, and changes become effective when posted in the App or on the applicable website unless a later date is stated or applicable law requires advance notice or renewed consent. Urgent legal, fraud-prevention, security, and passenger-safety changes may take effect immediately. The Terms in effect when a Trip is accepted govern that Trip unless mandatory law or an urgent safety requirement requires otherwise. Changes will not retroactively reduce earned compensation, resolve an existing dispute, or materially alter a vested right without valid agreement. Continued App use after posting constitutes acceptance where legally permitted. If you reject a material change, stop using the App and contact Driver Support regarding account closure or rights under the Driver Agreement.
A change to Section 36 will not apply to a claim of which Premier Ride had actual written notice before the change, unless both parties agree. The version accepted and acceptance record will be retained as required by law and legitimate business needs.
39. General Contract Terms
- Entire agreement: These Terms and incorporated documents are the entire agreement about App use, but do not replace the Driver Agreement or Privacy Notice.
- No waiver: Failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the stated instance.
- Severability: If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue, subject to the special severability rule in Section 36.
- Assignment: You may not assign these Terms or an account without written consent. Premier Ride may assign these Terms in a merger, reorganization, sale, or transfer of the relevant business, with legally required notice and without reducing accrued rights.
- Force majeure: Neither party is liable for delay caused by events beyond reasonable control, but this does not excuse payment already due, passenger safety, data protection, or legally required obligations.
- Notices: Legal notices must be sent to the addresses in Section 40 and are effective as provided by applicable law. Operational notices may be delivered electronically under Section 12.
- Interpretation: Headings are for convenience; including means including without limitation; and no drafting presumption applies against either party. English controls unless law requires otherwise.
- Third-party beneficiaries: No person is a third-party beneficiary except Premier Ride affiliates expressly covered by a provision and indemnified parties under Section 33.
- Protected rights: Nothing prohibits legally protected concerted activity, wage discussions, whistleblowing, agency participation, reporting suspected illegality, or exercising a nonwaivable right.
40. Contact Information

Schedule 1: Driver and Affiliate Nondisclosure Agreement
This Driver and Affiliate Nondisclosure Agreement is incorporated into the Terms and applies to each Driver, Affiliate, and person receiving access through an Affiliate. In exchange for access to the App, Trips, customers, passenger information, and the Platform Parties' business information, the receiving party agrees as follows:
- Confidential Information: Confidential Information includes passenger and customer identities, contact information, itineraries, locations, travel patterns, communications, preferences, security needs, signatures, payment-related information, and personal data; corporate account and referral-source information; Trip history, leads, prospective clients, pricing, rate cards, margins, commissions, vendor and Affiliate information, contracts, proposals, business plans, forecasts, procedures, training, safety and security information, software, databases, credentials, technical information, fraud controls, investigations, and all other nonpublic information disclosed by or through a Platform Party that reasonably should be understood as confidential. Trade secrets remain trade secrets under applicable law.
- Duties: The receiving party will use Confidential Information only to perform authorized Premier Ride activities; limit access to personnel with a need to know who are bound by protections at least as strict; use reasonable administrative, technical, and physical safeguards; not copy, download, retain, sell, disclose, publish, exploit, reverse engineer, or use it for personal or competing purposes; and immediately report suspected loss, misuse, or unauthorized access. An Affiliate is responsible for violations by its owners, employees, contractors, chauffeurs, agents, and anyone to whom it provides access.
- Exclusions: Confidential Information does not include information the receiving party proves was lawfully public without breach, lawfully known without restriction before disclosure, independently developed without use of Confidential Information, or lawfully obtained from a third party without a confidentiality duty. A preexisting client relationship must be documented by records created before Premier Ride's introduction.
- Required disclosure and protected activity: If legally compelled to disclose Confidential Information, the receiving party will provide prompt notice when lawful, disclose only what is required, and reasonably cooperate in seeking confidential treatment. Nothing prohibits reporting suspected violations to a government agency, communicating with counsel, participating in an investigation, discussing legally protected working conditions, or making another disclosure protected by law. Under 18 U.S.C. Section 1833(b), an individual will not be held criminally or civilly liable under federal or state trade-secret law for a confidential disclosure of a trade secret to a government official or attorney solely to report or investigate a suspected legal violation, or in a sealed court filing, as provided by that statute.
- Return deletion and retention: Upon request, loss of access, or termination, the receiving party will promptly return or securely delete Confidential Information from personal devices, accounts, storage, contacts, notes, photographs, and messages and, if requested, certify completion. Legally required records, automatic backups, insurance files, tax records, and evidence subject to a legal hold may be retained only for the required purpose and remain protected until securely destroyed.
- Duration: These NDA obligations begin upon first access or disclosure and continue throughout the relationship and for three years afterward. Obligations concerning trade secrets, passenger information, personal data, account credentials, security information, and information that remains protected by law continue for so long as the information remains confidential or protected, including indefinitely where permitted.
- Ownership and no license: Confidential Information remains the property of Premier Ride, its customers, passengers, or the applicable owner. No intellectual-property license or ownership right is granted except the limited right to use information for authorized performance.
- Remedies: Unauthorized disclosure, use, solicitation, or diversion may cause irreparable harm. Either Platform Party may seek injunctive relief without waiving other remedies, actual and consequential damages where recoverable, restitution, disgorgement, an accounting, indemnification, and reasonable attorneys' fees, expert fees, arbitration fees, court costs, and enforcement expenses to the extent permitted by law. Section 36 governs dispute resolution unless an applicable exception permits court relief.
Schedule 2: Driver Service Standards
These standards apply unless a Trip instruction, customer contract, accessibility need, emergency, or applicable law requires a different standard. Safety and law always control.
| Stage | Required standard |
|---|---|
| Before the Trip | Review the reservation, route, timing, passenger count, luggage, accessibility notes, pickup rules, and required signage. Confirm the approved vehicle, documents, fuel or charge level, cleanliness, climate, and communications. |
| Driver details | Provide accurate chauffeur name, mobile contact, photograph if required, and approved vehicle information by the stated deadline. Report any change immediately. |
| Attire | Unless otherwise specified, wear a clean black suit, white business shirt, black tie, dark dress shoes, and professional grooming. Follow lawful religious, disability, safety, and accommodation requirements. |
| Vehicle | Use the assigned late-model, clean, odor-free, smoke-free vehicle in safe operating condition. Keep passenger areas and luggage space free of personal items. |
| Amenities | Provide sealed cold premium water when required. Never provide alcohol or an unapproved item. |
| Arrival | Arrive early enough to comply with staging and pickup requirements. Use only lawful waiting locations. Display approved signage for meet-and-greet service. |
| Communication | Use concise, professional messages. Protect passenger privacy. Notify dispatch promptly of delays, flight changes, vehicle issues, inability to locate the passenger, or changes requested. |
| Waiting and no show | Follow the Trip's authorized wait-time and no-show process. Do not leave, charge, or mark no-show until required contacts and approvals are completed. |
| During service | Confirm destination discreetly, assist with luggage when safe, maintain a comfortable environment, avoid unnecessary conversation, and follow lawful passenger preferences without compromising safety. |
| Completion | Confirm all passengers and belongings have exited safely, update status accurately, inspect for lost property or damage, submit authorized charges and documentation, and securely delete passenger data no longer needed. |
Schedule 3: Consent and Acknowledgment
By accepting electronically, I acknowledge and agree that:
- I received, can access, and had an opportunity to review these Terms before acceptance.
- I understand that the Terms are binding and that Section 36 contains an individual arbitration agreement, class and collective action waiver, and 30-day opt-out procedure.
- I consent to electronic records, signatures, and essential operational communications as described in Section 12.
- I received or can access the Driver Privacy Notice and understand that the App may collect precise location, including background location while I am online, available, assigned, or performing a Trip, as described in the notice and permission screen.
- I will not interact with a handheld device while driving and will pull over safely before entering information or handling nonurgent communications.
- I will protect passenger information, use my own account only, maintain required credentials and insurance, and promptly report safety, security, and compliance incidents.
- I accept the Driver and Affiliate Nondisclosure Agreement in Schedule 1 and the nonsolicitation and noncircumvention obligations in Section 19, including the remedies available to Premier Ride for breach.
- My employment, contractor, or Affiliate status and compensation are governed by applicable law and separate written terms, not solely by these App Terms.

Legal Review Notice: Transportation, worker-classification, privacy, biometric, arbitration, insurance, and payment laws vary by jurisdiction. Before deployment in a new jurisdiction, the Platform Parties should obtain local legal review and publish any required addendum, disclosure, consent, insurance requirement, or statutory notice. These Terms do not waive rights or duties that applicable law makes nonwaivable.
